This Intellectual Property and DMCA Policy ("Policy") is incorporated into and forms part of the Brainrise Terms of Service ("Terms") and uses the same defined terms, including "User," "Content," "Submissions," and "AI Coach."

## 1. Ownership of the Service and Content

1.1 The Service and all Content — including all practice questions, diagnostics, answer explanations, curricula, question banks, text, graphics, images, user interfaces, software, code, data compilations, AI-generated explanations produced by the Service, and the selection, arrangement, and organization of all of the foregoing — are owned by Company or its licensors **to the extent they are protectable and capable of ownership**, and are protected by copyright, trademark, trade-secret, and other intellectual-property laws. **Company's claim of ownership over AI-generated output extends only so far as that output is in fact protectable and owned; Section 1.5 explains what Company does not represent about AI output, and nothing in this Section 1.1 contradicts it.**

1.2 Except for the limited license granted in the Terms (Section 5), no right, title, or interest in the Service or Content is transferred to you. All rights are reserved.

1.3 **Restrictions.** You may not copy, reproduce, distribute, publish, publicly display, modify, create derivative works from, scrape, data-mine, sell, sublicense, or otherwise exploit the Service or Content, or use it to train or build any competing product, dataset, or model, except as expressly permitted by the Terms. The prohibited-conduct provisions of Terms Section 6 apply in full.

1.4 **Contributor and contractor IP.** All practice questions, explanations, and other materials created for Company by employees, contractors, item writers, editors, or other contributors are made as **works made for hire** and/or are **assigned to Company,** so that Company owns them exclusively. Company engages such contributors under a written agreement requiring original, non-infringing work and full assignment of rights. Practice questions are original study material and are **not** actual, official, licensed, or previously administered test questions.

1.5 **AI-generated output.** AI-generated explanations produced through the Service are Content for purposes of this Policy and the Terms. Company does not intend AI outputs to reproduce any third party's copyrighted work and provides them for Users' personal, non-commercial study only. Company makes **no representation or warranty** that any AI output is original, copyrightable, non-infringing, or free of third-party rights, and disclaims all such warranties to the maximum extent permitted by law (Terms Section 12; AI Disclosure and Student Safety Policy). **Where an AI output is not protectable or not owned by Company, Company asserts no ownership in it; the restrictions in Section 1.3 and Terms Section 6 nonetheless continue to apply to your use of the Service.** If you believe an AI output or any Content infringes your rights, use the DMCA process in Section 4.

## 2. Trademarks

2.1 "Brainrise," the Company name, and associated logos and marks are trademarks of Company. You may not use them without our prior written permission.

2.2 **Third-party marks.** **SAT® is a trademark registered by the College Board.** Company and the Service are **not affiliated with, endorsed by, or sponsored by the College Board.** All other product and company names and marks are the property of their respective owners and are used for identification and descriptive purposes only, which does not imply any affiliation or endorsement. See the Educational Disclaimer and Waiver.

## 3. User Submissions and Feedback License

3.1 **Submissions.** You retain ownership of your Submissions (as defined in the Terms). **Your Submissions are licensed to Company on the terms set out in Terms Section 7.1, which govern; this Policy does not expand that license.** You represent that you have the rights necessary to grant that license and that your Submissions do not infringe any third party's rights.

3.2 **Feedback.** Any suggestions, ideas, or feedback you provide are non-confidential, and you grant Company a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, exploit, and incorporate that feedback for any purpose without compensation or attribution.

## 4. Copyright Complaints — DMCA Notice-and-Takedown

Company respects intellectual-property rights and responds to notices of alleged copyright infringement under the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512.

### 4.1 DMCA Notices

Send notices of claimed infringement to:

### 4.2 Filing a Takedown Notice

To report material you believe infringes your copyright, send the DMCA Agent a written notice that includes:
(a) your physical or electronic signature;
(b) identification of the copyrighted work claimed to be infringed;
(c) identification of the allegedly infringing material and information reasonably sufficient to locate it (e.g., URL);
(d) your contact information (name, address, phone, email);
(e) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and
(f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the owner or authorized to act on the owner's behalf.

### 4.3 Counter-Notice

If your material was removed and you believe it was removed in error, you may send the DMCA Agent a counter-notice containing:
(a) your physical or electronic signature;
(b) identification of the removed material and its prior location;
(c) a statement, under penalty of perjury, that you have a good-faith belief the material was removed as a result of mistake or misidentification;
(d) your name, address, and phone number; and
(e) a statement that you consent to the jurisdiction of the federal court in the district of your address (or, if outside the U.S., the district where Company may be found) and will accept service of process from the complaining party.

### 4.4 Repeat-Infringer Policy

It is Company's policy to terminate the Account of any User who is the subject of **two (2) or more** unresolved takedown notices that Company determines to be valid, or who Company otherwise determines to be a repeat infringer. Company maintains a record of notices received and actions taken, and informs Users of this policy through this Policy and the Terms.

### 4.5 Notice to the Affected User

If we remove or disable material in response to a takedown notice, we will take reasonable steps to **promptly notify the User who provided it**, and will provide that User a copy of the notice and information about submitting a counter-notice.

### 4.6 Restoration After Counter-Notice

If we receive a valid counter-notice, we will forward it to the original complaining party and will **restore the removed material in not less than ten (10) nor more than fourteen (14) business days** after receipt, unless the complaining party first notifies us that it has filed an action seeking a court order to restrain the User's infringing activity.

### 4.7 Misrepresentation Warning

**Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing, or that material was removed or disabled by mistake or misidentification, may be liable for damages, including costs and attorneys' fees.**

## 5. Reservation of Rights

Company reserves all rights not expressly granted in this Policy and the Terms. Nothing in this Policy waives any of Company's intellectual-property rights or remedies.
