This Refund and Subscription Policy ("Policy") is incorporated into and forms part of the Brainrise Terms of Service ("Terms") and uses the same defined terms, including "Parent," "Student," "Account," and "User." By subscribing to or purchasing the Service, you agree to this Policy.

## 1. Free Trial

1.1 We may offer a **free trial**. Trial availability, length, and eligibility are as described at sign-up and may change. **The exact calendar date on which your trial ends is disclosed to you before you enroll and is shown in your Account at all times.**

1.2 **Automatic conversion.** Unless you cancel before the trial ends, the trial **automatically converts** to a paid subscription and your payment method is charged the then-current subscription price. We will disclose the price and renewal terms at sign-up.

1.3 **One trial per Student.** A household may start one free trial per Student. We may deny a trial where the same Student has previously trialed or subscribed, or where we detect trial abuse under Section 5.4. A shared billing address or a shared payment method is not, by itself, a reason to deny a trial to a different Student in the same household.

1.4 **Express affirmative consent and acknowledgment.** Before any free trial converts, and before any recurring charge begins, we present the offer terms — the trial length, the price and frequency of the recurring charge, and how to cancel — in **visual proximity** to the request for your consent, and we obtain your **express affirmative consent** to those terms through a separate, conspicuous, pre-unchecked authorization that is distinct from your acceptance of the Terms. **For any plan with an initial term of one year or longer, those renewal terms are presented in bold-face type and your affirmative opt-in to automatic renewal is a separate act from accepting the Terms.** After you subscribe, and again upon any trial-to-paid conversion, we send you an **acknowledgment email, in a retainable form,** that restates the subscription terms and provides clear cancellation instructions and a direct link to the self-service cancellation control in your Account.

1.5 **Trial disclosures and pre-conversion reminder.**

**(a) Before you accept a trial**, we disclose to you in writing: the obligation you are taking on; **the exact calendar date by which you must cancel to avoid any charge**; **the exact calendar date on which the financial obligation attaches** (that is, the date the first charge occurs); **the dollar amount and frequency of the charge**; how to reject or cancel; and a cancellation route substantially similar to the route by which you accepted.

**(b) We tell you twice — at enrollment, and again before the first charge.** For every free trial, regardless of its length:

- **At or before enrollment**, your enrollment confirmation discloses **the exact calendar date the trial ends, the exact dollar amount that will be charged, the exact calendar date of that charge, and a direct link that lets you cancel online in a single step.**
- **Again before the first charge**, and **at least three (3) days before the trial period ends** (or, where the trial is shorter than three days, at the mid-point of the trial), we send you a reminder in a retainable form and by the same medium in which you signed up.

Each of these notices states: (i) **both calendar dates described in paragraph (a) — the date the trial ends and the date by which you must cancel** — as actual dates, not as a number of days; (ii) **the dollar amount** and frequency of the charge that will begin; (iii) that the subscription will renew automatically unless you cancel; and (iv) a direct, working link to the self-service cancellation control in your Account, together with any other cancellation option we offer.

Where a state requires a longer, earlier, or differently-timed notice for a trial, promotional, or discounted period, we will give the notice that state requires. This reminder is in addition to the acknowledgment described in Section 1.4.

## 2. Subscription and Billing

2.0 **Renewal reminders.** We send the reminders described below in a retainable form, by the contact method you selected, **to every subscriber in every state, regardless of where you live.** Each reminder identifies the Service, states that the subscription renews automatically unless you cancel, states **the dollar amount and the frequency of the charge**, states the renewal date and the date by which you must cancel to avoid the charge, and gives both written cancellation instructions and a direct link to the self-service cancellation control in your Account.

**(a) Plans with a term of one year or longer — two notices.** Because the states set incompatible reminder windows, we send two reminders rather than one:

- a **first reminder not less than thirty (30) and not more than forty (40) days before the renewal date**; and
- a **second reminder not less than five (5) and not more than thirty (30) days before the cancellation deadline** for that renewal.

**(b) Monthly and other plans of thirty-one (31) days or less.** We send you a reminder **with each billing cycle**, stating the amount that will be charged on automatic renewal and how to cancel, **and in any event we send you a reminder at least once every twelve (12) months** stating the goods or services subject to the automatic-renewal provision, the frequency and amount of the charges, and the means to cancel.

**(c) Different or additional state requirements.** Where a jurisdiction requires a reminder on a different schedule, with different content, or for a different plan type, we will send the notice that jurisdiction requires; **where two jurisdictions require incompatible windows, we send both notices.**

2.1 **Recurring billing.** Paid access is sold as an auto-renewing subscription billed on a recurring cycle ($24.00 per month, or $199.00 per year, or another plan posted at the time of purchase). **You authorize recurring charges only by giving the separate express affirmative consent described in Section 1.4** — a distinct, pre-unchecked control presented in visual proximity to the offer terms and separate from your acceptance of the Terms of Service. That authorization continues until you cancel.

2.2 **Price; price and fee changes.** The current price is shown at checkout. If we change the price of your subscription, or change any fee — **including a change you previously consented to** — we will send you **clear and conspicuous advance notice, in a retainable form, not less than seven (7) and not more than thirty (30) days before the change takes effect**, by the contact method you selected, identifying the current price or fee, the new price or fee, the date it first applies, and how to cancel. **We will not charge you an increased price unless (a) you give affirmative consent to the new price before we charge it, or (b) we permit you to cancel within at least fourteen (14) days after the first increased charge and refund that charge on a pro rata basis.** Continued use of the Service is **not**, by itself, consent to a price increase. If you do not accept the new price, you may cancel before it takes effect and will not be charged the increased amount.

2.3 **Taxes.** Prices exclude applicable taxes, which may be added.

2.4 **Failed payments.** If a charge fails, we may retry, suspend, or terminate access until payment is resolved.

## 3. Cancellation

3.1 **Anytime — cancel directly in your Account.** This Section states how you cancel and what we may and may not do while you are cancelling. **It is written to satisfy the Restore Online Shoppers' Confidence Act, 15 U.S.C. § 8403 — which requires us to disclose all material terms clearly and conspicuously before we take your billing information, to obtain your express informed consent before any charge, and to give you a simple mechanism to stop recurring charges — and to satisfy every state automatic-renewal statute that applies to you, whichever is stricter.** You may cancel your subscription at any time **directly in your Account** using the self-service online cancellation control. This applies to every plan, including month-to-month plans. **The cancellation mechanism is at least as easy to access and use as the method you used to start the subscription and is available through the same medium — if you signed up on our website or web application, you can cancel on that same website or web application, without being required to take any offline action.** Cancelling **immediately stops any further recurring charges.** This online self-service cancellation is available **at all times other than during a brief scheduled maintenance window announced in advance, and Section 21.1 of the Terms does not permit Company to suspend, throttle, or remove the cancellation control.** Cancellation takes effect on request; we do not impose additional steps, delays, or requirements. You are **not** required to call or email us to cancel. You may also contact southwest@southwestcpinvestment.com if you would like assistance, but email is neither the exclusive nor a required method of cancellation.

3.1.1 **If you cannot sign in.** We may ask you to authenticate before cancelling online. **If you are unwilling or unable to authenticate, you are not prevented from cancelling: send an email to southwest@southwestcpinvestment.com with the subject line "Cancel" from any address, or use any other cancellation route we publish, and we will verify your subscription and cancel it. This alternative route is described in this Policy and in the acknowledgment we send you when your subscription starts.** Where we make a telephone or voicemail cancellation route available, we action or return any voicemail **within one (1) business day.**

3.2 **Effective at period end.** Cancellation stops future renewals. Your access **continues until the end of the current paid billing period,** after which it ends. Cancellation does **not** by itself trigger a refund of the current period except as provided in Section 4.

3.3 **Cancellation flow; retention offers.** The cancellation control is reachable in a **single step** from your Account, and completing it does not require any additional action from you that obstructs or delays the termination of your subscription.

**(a) We do not try to talk you out of it.** When you use the cancellation control, we cancel. We do not present a retention offer, a discount offer, a survey, or an "are you sure" screen, and we do not require you to read anything before the cancellation completes. **If we ever introduce any such screen, we will update this Policy first, we will ask your permission before showing it and ask only once, and a button labelled "click to cancel" will stay visible and working the whole time it is on screen.** Company does **not** operate a telephone cancellation line, and **you are never required to telephone anyone to cancel.**

Once you confirm, we process the cancellation immediately and send you written confirmation.

## 4. Refunds

4.1 **7-day first-charge refund.** For your **first paid charge only** (whether the initial subscription charge or the charge upon trial conversion), you may request a **full refund within seven (7) days** of that charge, either through the self-service refund request control in your Account or by emailing southwest@southwestcpinvestment.com. A timely request is one **submitted** within seven days; our processing time does not count against your window. Approved refunds are issued to the original payment method.

4.2 **Other refunds.** Except for the 7-day first-charge refund in Section 4.1 and the annual-plan proration in Section 4.6, **fees are non-refundable, and we do not provide partial or prorated refunds** for failure to use the Service, or for a monthly plan (where cancelling simply stops the next charge and access continues to the end of the month already paid for). This Section does not apply where a refund or proration is required by law or by another provision of the Brainrise legal pack, including: a pro rata refund following a price increase under Section 2.2; a refund of the unearned prepaid portion of a term following a non-compliant renewal; **a pro rata refund of the unused portion of the paid term where Company terminates a paid subscription other than for fraud or for conduct that threatens the safety of any person (Terms Section 15.2; Sections 4.7 and 5.4 below), including a termination because the Account Holder or the Student is a resident of the State of New York (Terms Section 2.7);** and any refund required by an applicable automatic-renewal statute. This is consistent with the no-guarantee-of-results terms in the Terms and the Educational Disclaimer and Waiver — refunds are not available based on any Student's scores or outcomes.

4.3 **Discretion.** We may, in our sole discretion and as a courtesy, grant refunds or credits in individual cases; doing so does not waive this Policy or obligate us to do so again.

4.4 **Legal rights.** Nothing in this Policy limits any non-waivable refund or cancellation right you may have under applicable law.

4.5 **How we handle a refund request.** We will acknowledge every refund request **within one (1) business day** and decide it **within five (5) business days** of receipt. Approved refunds are issued to the original payment method **within ten (10) business days of approval.** If we decline a request, we will tell you why in writing and you may ask us to review that decision once by replying to the same email; we will answer a review request within five (5) business days. Nothing in this Section limits your right to dispute a charge with your card issuer or bank.

4.6 **Annual plans — pro-rata refund on cancellation.** If you cancel an **annual** subscription after the 7-day window in Section 4.1, you may request a **pro-rata refund of the unused whole months remaining** in your paid year. On approval, we cancel your subscription and refund that pro-rated amount to your original payment method under the timelines in Section 4.5. We calculate the refund by dividing the price you paid by twelve (12) and multiplying by the number of whole months remaining after the month in which you cancel. This Section applies only to annual plans; a monthly plan is handled as described in Section 4.2.

4.7 **New York residency — pro-rata refund on a Company-initiated termination.** The Service is not offered to, and may not be purchased by, residents of the State of New York (Terms Section 2.7). Where Company terminates a paid subscription because the Account Holder or the Student is a New York resident, that termination is a **Company-initiated termination that is neither for fraud nor for a safety violation.** The refund already required by Section 4.2 and by Terms Section 15.2 therefore applies, and **Company will refund the unused portion of the paid term on a pro rata basis.** This Section states no new rule and no exception; it names this case so it is not mistaken for a "failure to use the Service" under Section 4.2. For an **annual** plan, the refund will be no less than the amount calculated under Section 4.6. For a **monthly** plan, Company refunds the unused portion of the month already paid for, calculated on a daily basis from the date access ends. Refunds under this Section are issued to the original payment method under the timelines in Section 4.5.

## 5. Payment Disputes and Abuse

5.1 **Please contact us first.** If you believe a charge is incorrect, we ask that you contact us at southwest@southwestcpinvestment.com so we can resolve it quickly. **Contacting us is a request, not a requirement, and nothing in this Policy limits or conditions any right you have to dispute a charge with your card issuer or bank.** We will not terminate your Account, refuse service, or seek to recover any amount from you solely because you exercised a dispute right.

5.2 **Cure on notice.** If you believe we have failed to meet any obligation in this Policy, tell us in writing at southwest@southwestcpinvestment.com and we will investigate and, where we agree, cure the failure — including by issuing any refund owed — within **thirty (30) days** of receiving your notice.

5.3 **Evidence and repeated abuse.** Where a dispute is filed, Company may submit its records of your acceptance of the subscription terms, your separate auto-renewal authorization (Terms Section 8; Sections 1–2 above), and your access and usage to the card network as evidence in the dispute process. Where Company determines, on evidence, that a person has engaged in **a repeated pattern of disputes filed in bad faith together with continued use of the Service**, Company may decline to offer that person future service. Company does not characterise any individual dispute as fraudulent. **Before declining future service on this basis, Company will tell you in writing what pattern it has identified and give you fourteen (14) days to respond, and will consider your response before deciding. Company will never close an active paid Account, withhold access, or seek to recover any amount from you because you filed a dispute, and will never contest a dispute on the ground that you have filed disputes before. Nothing in this Section limits your rights under the Fair Credit Billing Act, the Electronic Fund Transfer Act, or your card network's rules.** Chargebacks and refunds also trigger commission clawback under the Affiliate Program Agreement where an affiliate referral was involved.

5.4 **Account sharing, resale, and abuse.** Sharing, reselling, sublicensing, or providing access to your Account, credentials, questions, answer keys, or Content to any other person, class, tutoring business, or website is prohibited (Terms Section 6). Where we detect account sharing, credential sharing, resale of access, trial abuse (including repeated or fraudulent trial sign-ups), or other abuse, we may suspend or terminate the Account and pursue any remedies available at law or in equity. **Except where the termination is for fraud or for conduct that threatens the safety of any person, we will give you at least ten (10) days' written notice and an opportunity to cure before terminating, and where we terminate a paid subscription we will refund the unused portion of the paid term on a pro rata basis.**

5.5 **Records.** We retain records of purchases, acceptances, access, and usage for the purposes of billing, dispute resolution, and fraud prevention, consistent with the Privacy Policy. We retain records of your subscription and auto-renewal consent (including the terms shown to you, the timestamp, the Account/user identifier, and the IP address) for **the longer of (a) three (3) years from the date consent was given and (b) one (1) year after the subscription terminates**, consistent with applicable automatic-renewal law. **This is a single retention period that meets every state requirement applicable to these records; we do not apply a shorter period in any state.**

## 6. Changes to This Policy

We may update this Policy from time to time. Material changes will be posted with a new version number and a new "Last Updated" date and take effect for billing cycles beginning after the change. Continued use constitutes acceptance.
